Terms of Service

1. The Service

Woodio is a business operations platform for custom fabrication and woodworking businesses, providing project management, job costing, staff time tracking, client payments, vendor expenses, inventory, file storage and related tools.

2. Accounts

• You must provide accurate information and keep your login credentials secure.
• You are responsible for all activity under your account and for your team members' use of the Service.
• You must be authorised to act on behalf of the business you register.

3. Acceptable use

You agree not to: (a) use the Service unlawfully; (b) attempt to breach security or access data that is not yours; (c) disrupt or overload the Service; (d) reverse engineer or resell the Service without our written consent; or (e) upload malware or unlawful content.

4. Your data

• You retain all rights to the business data you enter ("Customer Data").
• You grant us a limited licence to host and process Customer Data solely to provide the Service.
• You are responsible for the accuracy and legality of Customer Data and for having the rights to store it, including any personal information about your clients and staff.

5. Payments

Where the Service processes payments from your clients, those payments are handled by our payment provider (Stripe). We are not a party to the underlying transaction between you and your clients. Subscription fees, if any, will be described at sign-up.

6. Third-party services

The Service relies on third-party providers for hosting, email, storage, payments and AI features. Your use of the Service is also subject to those providers' terms where applicable.

7. Availability

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue features with reasonable notice.

8. Disclaimer

The Service is provided "as is" without warranties of any kind, to the extent permitted by law. Woodio does not provide legal, accounting or tax advice; reports and figures are for your information only and should be independently verified.

9. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential losses, or for loss of profits, data or goodwill. Our total liability for any claim is limited to the fees you paid for the Service in the 12 months before the claim. Nothing in these Terms excludes rights you have under the Australian Consumer Law that cannot lawfully be excluded.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms. On termination you may request an export of your Customer Data within a reasonable period, after which it may be deleted.

11. Changes to these Terms

We may update these Terms. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of Australia, and you submit to the non-exclusive jurisdiction of its courts.
